Shin Kong–Taishin Financial Holding Merger

Taiwan’s Financial Supervisory Commission has approved a proposed merger between Shin Kong Bank and Taishin Bank, two subsidiaries under TS Financial Holding (TS Holdings), on 4 August 2026, which is expected to formally take effect on 1 January 2027.

This transaction followed the merger a year ago between Shin Kong Financial Holding Company and Taishin Financial Holding Company to become TS Holdings, which was completed on 24 July 2025. Taiwanese law firm LCS & Partners advised Shin Kong Financial Holding Company in this deal. The bank merger is the last leg of the 2025 financial holding companies’ merger.

The board of directors approved the bank merger plan and agreement, acting on behalf of the shareholders, on 4 June 2026, for around USD250 million in cash and shares.

Under the merger agreement, Taishin Bank will issue new shares to the shareholders of Shin Kong Bank at an exchange ratio of 1 share of Shin Kong Bank common stock for 0.9505 share of Taishin Bank common stock.

In 2025, LCS partners Arthur Chang and Weita Liao led the transaction team for the Shin Kong Financial Holding Company and Taishin Financial Holding Company merger.

“The major shareholders of the two parties are brothers of the Wu family and the surviving company is the younger brother of the Wu family. There has been no merger between financial holding companies for a long time in Taiwan, so the Financial Supervisory Commission is positive on the consolidation,” Chang told Asia Business Law Journal.
