The Ministry of Corporate Affairs through a notification dated 13 July clarified that if a director has intimated a company about participating in a board meeting through electronic mode, such intimation does not debar the director from participating in a meeting in person. However, the director is required to intimate the company of the changed intention.

The notification also stated that the draft minutes recorded by the chairman, with the names of directors who assented and dissented at the end of every board meeting, should be preserved until the minutes are confirmed after circulation among all directors, within 15 days of the meeting.
