Skadden has been representing Nomura Holdings in its agreement with certain subsidiaries of Lehman Brothers to acquire all the share capital of Lehman Brothers Services India, Lehman Brothers Financial Services (India) and Lehman Brothers Structured Finance Services. The purchase price was undisclosed.

The acquired companies, which are based in Powai, India, provide business process outsourcing and operational support services across the Lehman network and have 3,000 employees, including 1,200 IT professionals.

The acquisition is expected to significantly enhance Nomura’s information technology functions and other support operations for its business units, particularly investment banking, capital markets, research and prime services.

The transaction is part of Skadden’s ongoing representation of Nomura in its acquisition of various Lehman Brothers’ businesses in the Asia-Pacific region, and in its European and Middle Eastern equities and investment banking operations. Nomura’s India counsel on the deal is Khatian & Co.

The Skadden team on the Lehman Indian acquisition included Jonathan Stone, Robert Graffum and Catarina Cardoso in Hong Kong and Jay Goffman (corporate restructuring), Lou Kling and Howard Ellin (M&A) in New York.
