Aricent makes a smart move

Aricent, a software engineering services company with headquarters in California, has acquired Bangalore-based SmartPlay Technologies, a product engineering services provider with expertise across semiconductors, embedded software and system design. Aricent paid US$180 million for the purchase.

With SmartPlay, Aricent becomes the No. 1 product engineering services provider in the semiconductor market, with more than 2,000 experts in that field and relationships with 17 of the top 20 semiconductor companies.

SmartPlay has over 1,200 employees across India, Germany, Singapore and the US andserves 16 of the top 20 semiconductor companies. It provides digital, analog, wireless software and system design services and caters to the automotive, consumer electronics, home automation, energy, mobility and telecom, networking, semiconductor and storage industries.

Its co-founder and CEO, Pradeep Vajram, is now the president of Aricent’s semiconductor business unit and will report to Aricent CEO Frank Kern. Vajram said partnering with Aricent meant the companies could offer “a more powerful proposition” to clients looking for smart silicon and embedded software to speed up their research and development initiatives.

Tatva Legal managing partner NK Dilip and manager Rashmi Talukdar advised SmartPlay and its sellers on the transaction. Pillsbury Winthrop Shaw Pittman acted for SmartPlay on US law issues. Mukund Gujadhur, the managing partner of TM&S Gujadhur Chambers, advised the sellers on Mauritius law aspects of the deal.

Nishith Desai Associates was Aricent’s Indian legal counsel. Simpson Thacher & Bartlett advised Aricent on international law matters.
