MoFo, Wilson Sonsini lead on USD6.5bn semiconductor sale

Morrison Foerster (MoFo) and Wilson Sonsini Goodrich & Rosati are key advisers in SoftBank Group’s USD6.5 billion acquisition of US-based semiconductor design firm Ampere Computing Holdings.

MoFo  served as legal counsel to SoftBank, with Tokyo office managing partner Ken Siegel and Austin-based corporate partner Lauren Bellerjeau leading the team.

Wilson Sonsini  advised Ampere Computing in the high-value transaction, led by partners including Robert Day, Todd Cleary, Brendan Mahan and Adam Bloom.

Ampere is a semiconductor company that designs processors, while Japan’s SoftBank is a multinational investment holding company that focuses on investment management.

The all-cash transaction remains subject to customary regulatory approvals and is expected to close in the second half of 2025.
